Share offering

This Offering gives existing and new investors an opportunity to invest in the Company and to be a part of enabling an orderly and sustainable energy transition.

The offer format will maximize participation of KSA and international investors. This has the potential to increase the number of unique shareholders, and more liquidity and increase ranking in global indices. This should increase flexibility, for the benefit of all shareholders, when purchasing or selling shares. 

We believe Aramco represents an attractive proposition to investors and we are delighted to have the opportunity to tell our success story: we have delivered on our commitments since the IPO, we are investing in unique, value-added growth opportunities, and we continue to maintain our focus on profitability, resilience and sustainability demonstrated in everything we do. 

First, you should read all the available information about the Offering, including the Offering Document, which is available on the Company website at www.aramco.com/share-offering, and which contains information regarding the Company and the Offering, including relevant risk factors set forth in the Offering Document.  

The price range for the Offer Shares is 26.70 SAR to 29.00 SAR per share. 

You will need to decide how many Offer Shares you would like to purchase at the top of the price range of 29 SAR per share.  This is the Retail Subscription Price.  Offer Shares must be subscribed for in multiples of 10. 

The Final Offer Price will be announced after the end of the Book-building Period.

Excess subscription amounts (if any) will be refunded to your account if the Final Offer Price is less than the Retail Subscription Price, or if not all of the Offer Shares you have subscribed for have been allocated to you.

The full subscription amount will be refunded to your account if the Final Offer Price is higher than the closing market price of Saudi Aramco shares on the Saudi Exchange on Thursday, 6 June 2024.

If you decide to subscribe for Offer Shares, you can do so by contacting one of the Receiving Entities. The contact details for these entities are available on the Company website.

After you have submitted your subscription application, you will be informed on June 7 of the number of Offer Shares allocated to you and the Final Offer Price.

Subscriptions for eligible retail investors will open on June 3rd (9am KSA time) and close on June 5th (5pm KSA time). 

The shares will be listed on Tadawul, the primary stock exchange in Saudi Arabia.

You should read all the available information in the Offering Document and contact one of the Receiving Entities (Alinma Bank, Al Rajhi Bank, Arab National Bank, Banque Saudi Fransi, Riyad Bank, Saudi Awwal Bank, Saudi National Bank).

• You must have an investment portfolio account with a brokerage firm affiliated with one of the Receiving Entities.
• Subscriptions will be rejected for investors that do not have an active investment portfolio account.

Only the Receiving Entities listed on the Company website are able to take orders. 

If a duplicate subscription is made, the second subscription will be considered void and only the first subscription will be accepted.

All Saudi nationals, GCC nationals and certain foreign nationals' resident in Saudi Arabia that have a bank account and an investment portfolio with one of the registered Receiving Entities.

• The individual subscriber must have an investment portfolio account with a brokerage firm affiliated with one of the Receiving Entities.

You must subscribe for a minimum of 10 shares or a multiple of thereof. There is no maximum. 

The application form is available through the Receiving Entities once the offer is open for subscriptions.

The Retail Subscription Price is SAR 29 - the top end of the price range.

The Final Offer Price will be announced after the end of the Book-building Period.
